Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and IndicWave LLC ("IndicWave," "we," "us," or "our"). By accessing or using the IndicWave website at indicwave.com, our mobile applications, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms. You must be at least 13 years of age to use the Services.

2. Description of Services

IndicWave provides the following Services, which may evolve over time:

• A verified directory of South Asian professionals, including immigration lawyers, CPAs, real estate agents, doctors, and wedding vendors
• Live money transfer rate comparisons across 30+ corridors (USD/INR, USD/PKR, CAD/INR, and more) via third-party providers such as Wise, Remitly, and Xoom
• Immigration news, USCIS processing times, and Visa Bulletin data
• NRI tools including a credit builder, family visit tracker, cultural calendar, and rate alerts
• Premium membership with enhanced features, delivered via a paid subscription
• Business listings with options for claimed/verified professionals to boost visibility
• A referral program for eligible users

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. User Accounts

To access certain features, you must create an account using Google Sign-In, Apple Sign-In, or email and password authentication (powered by Firebase Authentication). You agree to:

• Provide accurate and complete registration information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity under your account

We may suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable laws
• Post false, misleading, or fraudulent information, including in business directory listings or reviews
• Harass, threaten, or impersonate other users
• Scrape, crawl, or use automated means to access the Services without our written permission
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with the proper functioning of the Services, including introducing malicious code
• Use the Services to send unsolicited commercial communications (spam)
• Submit fake reviews, manipulate ratings, or engage in any form of review fraud

We reserve the right to remove content and suspend accounts that violate these guidelines.

5. Intellectual Property

All content, branding, design, code, and materials on the Services (excluding user-generated content) are owned by IndicWave LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without express written permission.

By posting content on the Services (such as reviews, business listings, or profile information), you grant IndicWave a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content in connection with operating and promoting the Services. You retain ownership of your content.

6. Third-Party Services

The Services integrate with or rely on the following third-party services, each governed by their own terms and privacy policies:

• Stripe — Payment processing for premium subscriptions and business listings
• Firebase (Google) — Authentication, cloud messaging (push notifications), and infrastructure
• Google APIs — Google Analytics 4 for usage analytics; Google Maps/Places APIs for location-based features
• Wise, Remitly, Xoom — Money transfer rate data displayed for comparison purposes
• Brevo (Sendinblue) — Transactional and marketing email delivery

IndicWave is not responsible for the practices or content of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

7. Payments & Subscriptions

Free Tier: Basic access to the directory, rate comparisons, and immigration tools is available at no cost.

Premium Membership: Enhanced features are available for $9.99 per month or $79.99 per year, billed through Stripe. Premium features may include WhatsApp notifications, advanced rate alerts, and other enhanced tools as described on the Services.

Billing: Subscriptions automatically renew at the end of each billing period unless cancelled. You authorize us (via Stripe) to charge your payment method on a recurring basis.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to Premium features until that date.

Refunds: We generally do not provide refunds for partial billing periods. If you believe you have been charged in error, please contact us at hello@indicwave.com.

Price Changes: We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

8. Disclaimers

Not Financial Advice: Money transfer rates, comparisons, and related data displayed on the Services are for informational purposes only. Rates are sourced from third-party providers and may not reflect real-time pricing. IndicWave does not process, facilitate, or guarantee any money transfers. Always verify rates directly with the provider before initiating a transfer.

Not Legal Advice: Immigration news, USCIS processing times, Visa Bulletin data, and related content are for informational purposes only. IndicWave is not a law firm and does not provide legal advice. Consult a qualified immigration attorney for advice specific to your situation.

Directory Listings: Business listings and professional profiles are submitted by users or business owners. While we encourage accuracy and may perform verification steps, IndicWave does not guarantee the accuracy, credentials, licensing, or quality of any listed professional or business.

General Disclaimer: The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by applicable law, IndicWave LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the Services.

In no event shall our total liability to you exceed the greater of (a) the amounts you have paid to IndicWave in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless IndicWave LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit to the Services.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and applicable federal laws of the United States, without regard to conflict of law principles.

12. Dispute Resolution

Informal Resolution: Before initiating any formal dispute proceedings, you agree to contact us at hello@indicwave.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware or remotely, at the election of the party initiating the claim.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

13. Termination

You may terminate your account at any time by deleting it through your account settings or by contacting us. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, through email or in-app notification. Your continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms.
